You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

All professional services provided by YOB, LLC are governed by a separate written service agreement or statement of work signed by both parties. In the event of any conflict between these Terms and a service agreement, the service agreement shall prevail with respect to the specific services covered.
Fees for services will be as set forth in the applicable service agreement. Unless otherwise specified, all fees are due within thirty (30) days of invoice date. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law. All fees are non-refundable except as expressly provided in the service agreement.
To the maximum extent permitted by applicable law, YOB, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to the use of the Site or services, even if advised of the possibility of such damages. Our total liability for any claims under these Terms shall not exceed the amount paid by you for the specific service giving rise to the claim.
The Site and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. YOB, LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
You agree to indemnify, defend, and hold harmless YOB, LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, violation of these Terms, or infringement of any third-party rights.
We reserve the right to suspend or terminate your access to the Site or services at any time, without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Site will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Ohio.
Any dispute arising out of or relating to these Terms or the services provided by YOB, LLC shall first be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration to be held in Ohio. Each party shall bear its own costs and attorneys' fees.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically for updates.
